The General Terms and Conditions of CPM Europe apply to all products and services. For those items which are not specifically described in the terms and conditions, the general conditions of sale for the supply of mechanical, electrical and electronic products, ORGALIME S2012 apply. CPM/Europe B.V. (“CPM Europe”) provides access to the CPM Europe Web Portal (“the Portal”) in order to allow users (“the User”) to obtain information and or placing orders for their spare parts needs. CPM Europe and the User are hereinafter also jointly referred to as the “Parties”. As part of this Portal, Users are provided with a user name and login to allow them to access the Portal and retrieve this information. This document sets out the user policy regarding the access and use of the Portal. Usernames and Passwords The User should keep the password and username allocated to them secret to themselves. The password will be changed periodically and will be e-mailed to the registered email account of the User. Where a User suspects that a password has been compromised they should mail the webmaster (parts.emea@cpm.net) asking for a new password. Usernames and passwords will be removed when the User leaves the related company or in the event of unreasonable use of the system. CPM is not responsible for any damage caused by misuse of the password by the User or its subordinates. User Access Level The User will have access to the Portal and will have the ability to obtain relevant information and add orders to their account. User’s responsibilities By applying for a username and password, the User accepts the following responsibilities and obligations:
CPM retains the right to exclude the User from the Portal due to breach of the above-mentioned User’s responsibilities or unreasonable use of the system. Responsibilities CPM Europe CPM Europe will maintain the information on the Portal and ensure it is as accurate as possible. In the event that any inaccuracy is identified and informed to CPM Europe, they will ensure a timely update or removal of the information as appropriate. Whilst every effort is made to ensure the Portal remains available at all times, the nature of Internet communications and hardware systems means that the system may not be available all of the time. CPM Europe will make every effort to maintain the service but cannot be held responsible for any damage (whether direct or consequential) or loss if the Portal is not available for any reason or as a result of the use of the Portal. CPM Europe is not responsible for external content referenced by the site or for information loaded on to the system by the users. CPM Europe shall be under no obligation to fulfil an order for an item which was advertised at an incorrect price. In case the item(s) has been charged and not dispatched CPM Europe will cancel and refund your order. CPM Europe tries to ensure that the information provided for each product listing is accurate and up to date, however revisions or errors regarding stock levels may occur. CPM Europe is not responsible for typographical errors regarding availability and cannot be held responsible if the stock level is not as is indicated. Product availability can vary continuously according to sales levels. Intellectual property All designs, graphics and other artwork and intellectual property (including the selection and arrangement of text and graphics) is and remains the copyright and/or property of CPM Europe, even in case permission is granted to User to electronically copy and hard-copy print portions of the Portal for the sole purpose of placing an order, or using this website for your orders. Any other use of aforementioned intellectual property is strictly prohibited. Governing law and jurisdiction This agreement is construed in accordance with and shall be governed by the laws of the Netherlands. In the event of a dispute, the Parties will first endeavor to find an amicable settlement. In the event the Parties do not succeed in finding an amicable settlement, the courts in Amsterdam, the Netherlands will be exclusively competent to hear the Parties and resolve the dispute. Obtaining a User Name and Password Anyone requiring a user name and password is obliged to sign the declaration below. Once completed, this form should be returned to your Area manager who will pass this on for processing. An e-mail will be sent to the e-mail address provided with the link and username and password details attached.
